Indee is a software service that helps independent sound practitioners host and deliver their work. Practitioners connect their own Stripe account, and all payments go directly from clients to them. By accessing or using Indee, you agree to these Terms of Service and our Privacy Policy.

TL;DR

  • You own your work. We don't take your rights.
  • You're responsible. If you upload it, you're accountable for it.
  • Clients get access, not ownership. No refunds unless you offer them.
  • Stripe handles payments. We never touch card details.
  • We don't sell your data. See our Privacy Policy for details.
  • Creators get buyer emails. To deliver services and stay in touch (unsubscribe anytime).
  • Use Indee respectfully. Don't upload illegal, infringing, or harmful content. See our Content & Moderation Policy .
  • We're a SaaS tool, not a marketplace. You bring your audience; we give you the tools.
  • You can leave anytime. We'll delete your stuff within 30 days except where law requires longer retention (e.g. financial records)

1. Services Provided

Indee provides software tools that allow practitioners to:

  • Upload and distribute original content through professional storefronts.
  • Control access to their work (free or paid).
  • Set pricing and deliver content directly to their audience.
  • Receive payouts via Stripe Connect.

We are not a marketplace, publisher, or distributor. Each practitioner controls their storefront and client relationships.

2. Practitioner Responsibilities

Practitioners must:

  • Own or hold the rights to all uploaded content.
  • Accurately describe their services and qualifications.
  • Ensure content complies with our Content & Moderation Policy.
  • Be truthful and professional in communication with clients.

Practitioners are solely responsible for their uploaded content and for complying with applicable laws. Users must be 16+.

3. Content Standards

3.1 Prohibited Content and Activities

To ensure compliance with payment processor requirements and maintain a safe platform for all users, the following content and activities are strictly prohibited on Indee:

Legal Content and Activities:

  • Any illegal products, services, or activities under applicable law
  • Counterfeit goods or products that infringe intellectual property rights
  • Illegal drugs, controlled substances, or drug paraphernalia
  • Weapons, firearms, explosives, or dangerous materials

Adult and Explicit Content:

  • Pornography, sexually explicit materials, or adult content of any kind
  • Content depicting nudity or sexual acts (including implied, suggested, or censored)
  • Adult services, escort services, or sexually oriented activities

Financial and High-Risk Activities:

  • Gambling, betting, lotteries, or games of chance
  • Investment schemes, get-rich-quick programs, or Ponzi schemes
  • Debt collection or credit repair services

Regulated Substances and Products:

  • Tobacco, e-cigarettes, vaping products, or related accessories
  • Cannabis, CBD, THC, or hemp-derived products
  • Prescription drugs or unregulated pharmaceutical products
  • Products making unsubstantiated health or medical claims to diagnose, treat, or cure

Harmful or Offensive Content:

  • Content promoting violence, hate, or discrimination against any group
  • Harassment, bullying, or threatening material
  • Content that promotes self-harm or dangerous activities
  • Malware, viruses, or malicious software

Fraudulent or Deceptive Practices:

  • Misleading product descriptions or false advertising
  • Fake reviews or manipulation of ratings
  • Services designed to circumvent platform policies
  • Unauthorized use of third-party intellectual property

This list is not exhaustive. Indee reserves the right to determine what constitutes prohibited content and may remove any material that violates these guidelines or the terms of our payment processors (Stripe). Practitioners found to be offering prohibited content may have their accounts suspended or terminated.

4. Moderation & Enforcement

  • Screening: All uploads may be checked for obvious violations.
  • User reporting: Anyone can report content they believe breaches policy.
  • Review: Flagged content is manually reviewed.
  • Audit trail: All moderation actions are logged and may be shared with Stripe if requested.
  • Enforcement actions may include content removal, warnings, suspension, or permanent account termination.
  • Appeals: Creators may appeal enforcement actions within 14 days; a different moderator reviews appeals.

5. Payments & Refunds

  • All payments are processed by Stripe. Indee never stores card details.
  • Payouts are only enabled for creator compensation related to their own content. Indee does not facilitate peer-to-peer money transfers.
  • Refunds are managed at the creator's discretion. Indee does not process refunds directly.

6. Data & Privacy

  • Buyer email addresses are shared with creators to deliver services and maintain relationships.
  • Buyers can unsubscribe from marketing communications at any time.
  • Indee does not sell or rent personal data.

The Indee platform, including software, design, and trademarks, remains our property. You retain ownership of your content but grant us necessary licenses to operate the platform.

9. Taxes

Fees listed by Indee exclude all applicable taxes and government charges. You are responsible for paying any such taxes in addition to our listed subscription fees.

As a creator, you are solely responsible for determining, collecting, reporting, and paying any and all applicable taxes arising from the content, services, or digital goods you sell through Indee. This includes, without limitation, sales tax, goods and services tax (GST), value-added tax (VAT), excise, import/export duties, and any other governmental fees or charges related to your business activities.

10. Disclaimer of Warranties

INDEE, ITS SUPPLIERS, AND SERVICE PROVIDERS PROVIDE THE PLATFORM AND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM USAGE OR TRADE PRACTICE.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY CONTENT OR INFORMATION WILL BE ACCURATE, RELIABLE, OR MEET YOUR EXPECTATIONS.

BY USING INDEE, YOU EXPRESSLY AGREE THAT THIS DISCLAIMER IS A MATERIAL PART OF THESE TERMS AND THAT, WITHOUT IT, THE ECONOMIC BASIS OF THE AGREEMENT WOULD BE SUBSTANTIALLY DIFFERENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDEE, ITS SUPPLIERS, SERVICE PROVIDERS, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM, THE SERVICES, OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU OR ANY THIRD PARTY IN CONNECTION WITH THE PLATFORM OR SERVICES SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO INDEE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Indee, its employees, directors, shareholders, suppliers, and service providers from and against any and all claims, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your use of the Platform or Services,
  • your violation of these Terms, our Content & Moderation Policy , or any applicable law,
  • your content or conduct, or
  • your failure to pay or account for applicable taxes.

This indemnity survives termination of your account or these Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Disputes will be subject to the jurisdiction of the courts of England and Wales.

14. Dispute Resolution

Informal Resolution: Before pursuing formal proceedings, parties agree to attempt good faith resolution through direct communication.

Binding Arbitration: Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR), with proceedings conducted in English in London, England.

Class Action Waiver: You agree that disputes must be resolved on an individual basis and waive the right to participate in class actions or representative proceedings.

15. Force Majeure

Indee shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet failures, or other force majeure events.

16. Severability

If any provision of these Terms is found unenforceable, the remainder shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

17. Updates

We may update these terms and conditions periodically. Material changes will be communicated via the Platform or email. Continued use indicates acceptance.
